Please read this document together with the other policies in the Legal Centre. If you use DeelosERP for a business, make sure your authorised Users understand the parts that apply to their work.
1. Agreement and acceptance
These Terms of Service are a binding agreement between you and JODSUNS TECHNOLOGY, the operator of DeelosERP ("Deelos", "we", "us" or "our"). They apply to the DeelosERP website, hosted application, point-of-sale tools, mobile or desktop experiences, support services, documentation and related features (together, the "Platform").
By creating an account, accepting these Terms, purchasing a subscription, or accessing or using the Platform, you agree to these Terms and the policies linked from our Legal Centre. If you use DeelosERP for a business, you confirm that you have authority to accept these Terms for that business. If you do not agree, do not use the Platform.
2. Definitions
"Account" means the account used to access a DeelosERP workspace. "Customer Data" means information submitted to the Platform by or for you, including business, customer, employee, product, inventory, order and payment records. "Subscription" means the plan and term selected for your workspace. "User" means an individual authorised by you to use the Platform. "Workspace" or "Tenant" means the business environment associated with your Account.
3. Eligibility and account authority
You must be legally capable of entering into a binding agreement and must provide accurate, current information when registering or administering an Account. You must not create an Account for a person or business without permission, impersonate another person, or use the Platform where doing so would violate applicable law.
You are responsible for selecting appropriate Users, assigning roles and permissions, reviewing activity, and ensuring that each User follows these Terms. You remain responsible for actions taken through your Account, including actions by your staff, contractors and other authorised Users.
4. Account security
Keep passwords, authentication details, devices and recovery information secure. Do not share individual credentials where role-based access is available. Tell us promptly through the Contact page if you suspect unauthorised access, loss of credentials, or a security incident. We may require a password reset, suspend access or take other reasonable steps to protect the Platform and Customer Data.
5. Your right to use the Platform
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable and revocable right during the Subscription term to access and use the Platform for your internal business operations. Your right to use the Platform does not transfer ownership of the Platform or any Deelos software, design, documentation, trademarks or other intellectual property.
You must not copy, sell, resell, lease, sublicense, distribute, reverse engineer, decompile, disassemble, probe, scrape, overload or create derivative works from the Platform, except where a restriction cannot lawfully be excluded. You must not bypass usage limits, access another tenant's workspace, or use the Platform to build a competing product.
6. Customer Data and your responsibilities
As between you and Deelos, you retain your rights in Customer Data. You are responsible for the accuracy, quality, lawfulness and security of Customer Data and for maintaining any records that your business or the law requires. You must have the rights, notices and permissions needed for us to process Customer Data to provide the Platform.
You instruct us to host, store, organise, transmit, back up and otherwise process Customer Data as reasonably necessary to provide, secure, support and improve the Platform, to prevent abuse, and to comply with law. Our Privacy Policy explains how personal information is handled and how requests may be made.
7. Plans, subscriptions and trials
Your selected plan, included features, usage limits, billing interval, price and applicable taxes will be shown at sign-up, renewal or upgrade. Trial or promotional access may have additional conditions and may end or change as stated when offered. We may change plans or features prospectively with reasonable notice, subject to applicable law and any committed term.
A Subscription continues for the selected term unless cancelled, expires, or is suspended or terminated under these Terms. You are responsible for monitoring your plan, renewal date, workspace usage and the Users who have access to it.
8. Payments and past-due amounts
You authorise Deelos or its payment provider to charge the fees, taxes and other amounts shown to you. Prices may exclude taxes, bank charges, mobile-money charges or other third-party costs unless stated otherwise. Payment information is handled through the relevant payment provider; you must keep billing information accurate and current.
If a payment fails or an amount becomes past due, we may send reminders, restrict features, suspend access, or terminate the affected Subscription after reasonable notice, subject to applicable law. Suspending access does not cancel amounts already due. We do not charge interest or collection costs unless permitted by law and clearly communicated to you.
9. Cancellations and refunds
You may cancel a Subscription through the available account or support process before the next renewal date. Unless the order or applicable law says otherwise, cancellation takes effect at the end of the paid term and does not automatically refund unused time. Refund eligibility is governed by our Refunds and Cancellation Policy.
You remain responsible for charges incurred before cancellation, including approved usage, taxes and amounts owed for an earlier term. We may issue a refund, credit or other adjustment where required by law or approved by us after reviewing the circumstances.
10. Acceptable use
Your use of the Platform must comply with our Acceptable Use Policy and all applicable laws. You must not use DeelosERP for fraud, unlawful surveillance, harassment, unauthorised access, malware, spam, deceptive messaging, infringement, money laundering, or activity that could harm another person, business or system.
You must not upload sensitive personal information unless it is necessary, lawful and appropriately protected for your business use. You are responsible for checking that messages, receipts, invoices, reports and customer communications are accurate before sending or relying on them.
11. Financial, tax and business responsibility
DeelosERP is a business management tool, not a bank, accountant, auditor, lawyer, tax adviser or payment institution. Reports, balances, taxes, stock figures and other outputs depend on the data and settings entered by you. You are responsible for reviewing records, taking appropriate backups or exports, and obtaining professional advice before making legal, tax, payroll, credit or other regulated decisions.
12. Availability, offline use and synchronisation
We aim to keep the Platform available and reliable, but no online service is uninterrupted or error-free. Availability may be affected by maintenance, internet connectivity, device or browser limitations, power failure, third-party services or events outside our reasonable control.
Some DeelosERP experiences may support offline work. When offline, data may be stored locally and queued for synchronisation. You are responsible for using supported devices, protecting the device, avoiding duplicate submissions, and confirming that queued changes have synchronised after connectivity returns. Offline capability does not remove your responsibility to reconcile important business records.
13. Third-party services and integrations
The Platform may connect to payment processors, SMS providers, hosting providers, mapping services, browsers, device features or other third-party services. Those services have their own terms and privacy notices. We are not responsible for a third party's availability, security, fees, content or actions, although we will take reasonable steps to help diagnose Platform-side issues.
14. Intellectual property and feedback
Deelos and its licensors own the Platform, including its software, interfaces, designs, content, documentation, trademarks and improvements. Except for the limited right expressly granted in these Terms, no licence or ownership right is granted to you.
If you send suggestions, ideas or feedback, you allow us to use them without restriction or payment, provided we do not identify you publicly as the source without permission. This does not give us ownership of your Customer Data.
15. Suspension and termination
We may suspend or limit access where reasonably necessary to protect the Platform, investigate abuse, respond to a security risk, comply with law, or address non-payment or a material breach. Where practical, we will provide notice and an opportunity to resolve the issue.
Either party may terminate for a material breach that is not resolved within a reasonable period after notice, unless immediate termination is permitted by law or necessary to protect people, systems or data. When a Subscription ends, your right to use the Platform ends. We may retain or delete Customer Data according to our retention practices and legal obligations, so export important records before termination.
16. Disclaimers
To the maximum extent permitted by law, the Platform is provided on an "as available" and "as is" basis. We do not promise that the Platform will meet every business requirement, be available in every location, or produce error-free or complete results. We disclaim warranties not expressly made in these Terms, including implied warranties of fitness, merchantability, title and non-infringement, except where such disclaimer is not permitted by law.
17. Limitation of liability
To the maximum extent permitted by law, Deelos and JODSUNS TECHNOLOGY will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profits, revenue, goodwill, anticipated savings, business opportunity or data, arising from or related to the Platform or these Terms.
To the maximum extent permitted by law, our total liability for claims arising from a Subscription will not exceed the fees you paid for that Subscription during the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or other non-waivable rights.
18. Indemnity
To the extent permitted by law, you will defend and indemnify Deelos and JODSUNS TECHNOLOGY against third-party claims, losses and reasonable costs arising from your unlawful use of the Platform, your breach of these Terms, or Customer Data that infringes another person's rights or was collected without required authority. We will give reasonable notice and allow you to participate in the defence, subject to applicable law.
19. Changes to these Terms
We may update these Terms when the Platform, law or business practices change. We will post the updated version and, where required, provide additional notice or request acceptance. The effective date and version shown at the top identify the current version. If you continue using the Platform after an update becomes effective, you accept the updated Terms; if you do not agree, stop using the Platform and cancel your Subscription.
20. Governing law and contact
These Terms are governed by the laws of Ghana, without displacing any mandatory consumer or data-protection rights that apply to you. Subject to any mandatory dispute process, the competent courts of Ghana will have jurisdiction over disputes related to these Terms or the Platform.
